Terms of Service

These Terms of Service (“Terms”) govern access to and use of the software, websites, and services (collectively, the “Services”) provided by Databi Private Limited (UEN 202441517N, Singapore), operating the HPO Canada project (collectively, “HPO Canada”, “we”, or “us”). By using the Services you agree to these Terms on behalf of yourself or the organisation you represent (“Customer”).
1. Service description
HPO Canada provides an AI-powered Knowledge Management System that ingests, classifies, and makes enterprise documents searchable via Retrieval-Augmented Generation (RAG). Specific features, limits, and service levels are set out in the ordering document or online plan description.
2. Pilot and free trial
Pilot or free-trial access is provided for evaluation only, for up to 90 days. During the pilot period Customer retains ownership of uploaded content and may request deletion at any time. Pilot access may be terminated by HPO Canada at any time.
3. Customer data and ownership
Customer retains all right, title, and interest in content it uploads (“Customer Data”). HPO Canada receives a limited licence to process Customer Data solely to provide the Services. HPO Canada does not use Customer Data to train third-party foundation models.
4. Acceptable use
Customer agrees not to:
- Upload content it does not have the right to upload.
- Upload malware, illegal content, or content infringing third-party rights.
- Attempt to reverse-engineer the Services except as permitted by applicable law.
- Use the Services to compete with HPO Canada or to benchmark without written consent.
- Circumvent access controls or exceed plan quotas.
5. Fees and billing
Paid plans are billed in accordance with the ordering document. Fees are non-refundable except where required by law or expressly stated in the ordering document. Late payments may be subject to interest at the lower of 1.5% per month or the maximum permitted by law.
6. Service levels
Uptime, response times, and other service levels are described in the applicable plan (Professional: 99.5%; Enterprise: 99.9%). Service credits are the sole and exclusive remedy for any service-level failure.
7. Security and compliance
HPO Canada maintains administrative, technical, and physical safeguards designed to protect Customer Data, including encryption at rest and in transit, zero-trust access controls, and immutable audit logging. We are Singapore PDPA compliant and Canadian PIPEDA compliant, GDPR compliant where EU data is processed, and pursuing SOC 2 Type II and Government of Canada PBMM certifications. 8. Confidentiality
Each party will protect the other’s Confidential Information using at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care.
9. Warranties and disclaimers
HPO Canada warrants that it will provide the Services in a professional manner in accordance with prevailing industry standards. Except as expressly stated, the Services are provided “as is” without warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. AI-generated answers may contain errors; Customer is responsible for verifying critical information.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, consequential, incidental, special, or punitive damages. Each party’s aggregate liability for any claim arising out of or related to these Terms is limited to the fees paid or payable by Customer to HPO Canada in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
Each party agrees to indemnify and hold harmless the other against third-party claims arising from its breach of these Terms, its negligence, or its wilful misconduct, subject to the limitations in Section 10.
12. Term and termination
These Terms begin on the effective date and continue for the term set out in the ordering document. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, HPO Canada will return or securely delete Customer Data in accordance with the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Singapore, except that either party may seek injunctive relief in any jurisdiction to protect its intellectual property. For customers located in Canada, a Canadian-law addendum governed by the laws of the Province of Ontario is available on request and will take precedence for Canadian-jurisdiction disputes where legally required.
14. Changes
We may update these Terms from time to time. Material changes will be posted on this page and, for active Customers, communicated by email at least 30 days before taking effect.
